What does a business valuation involve?
Business valuation involves determining an objective and realistic value range based on in-depth financial, strategic and sector analyses.
It takes into account market dynamics, the company’s financial statements and the investment criteria of prospective buyers in order to produce a coherent and defensible valuation.
Beyond financial modelling, the process also includes a comprehensive assessment of the business’s transferability. This highlights the company’s strengths, areas requiring attention and the key factors that directly influence its attractiveness in the M&A market.
Why is business valuation a key step?
A rigorous valuation enables the business to approach the market on a solid footing. It supports the seller’s financial expectations, strengthens the credibility of the project with third parties and helps accelerate the receipt of initial expressions of interest.
Carrying out a valuation or a transferability assessment enables you to take a proactive approach to managing the company’s performance. Our partners identify priority areas for improvement in order to maximise the company’s value over the medium term.
A well-supported valuation provides a solid basis for defending a proposed price and transaction structure when dealing with experienced buyers, whether strategic acquirers or investment funds. It helps reduce information asymmetries and avoid imbalanced negotiations during the due diligence phase.
How do we value your company or acquisition target?
Our business valuation services follow a structured process based on M&A and corporate finance best practices.
Step 1. Scoping and data collection
We begin by analysing your historical financial statements and your business plan, where available. When valuing the company’s assets, we take into account all relevant information, including property valuations and the value of plant and equipment.
Step 2. Financial analysis and performance adjustments:
This information is incorporated into our financial models to calculate the company’s key performance ratios. We apply the necessary adjustments to identify recurring profitability, in particular through the calculation of normalised EBITDA (Adjusted EBITDA).
Step 3. Strategic and sector analysis:
We analyse the company’s competitive positioning and assess the market, including recent comparable transactions and trading multiples, in order to determine valuation multiples that are consistent with and relevant to the sector.
Step 4. Bespoke multi-criteria modelling:
We adopt a bespoke and flexible approach. Our valuations combine the market multiples approach, based on historical profitability, the discounted cash flow method (DCF) and, where value is primarily asset-driven, the asset-based approach, including the identification of any goodwill.
Step 5. Summary and deliverables:
Finally, we carry out a sensitivity analysis to establish a valuation range and identify the main growth and negotiation levers. The findings are presented in a clear summary report highlighting the key figures. Once the valuation has been completed, we can naturally support you through the next stage of your project, whether this involves selling your business, transferring it to a family member or acquiring an external target.

Why entrust a valuation mandate to Fondaris?
Fondaris carries out its valuations free from any conflict of interest. Our conclusions are grounded in tangible economic realities and recognised methodologies, resulting in a report that stands up to scrutiny from third parties including banks, auditors, public authorities and counterparties.
We have expertise across the full range of financial analysis including EBITDA multiples, DCF, revalued net assets and listed-company comparables. We also analyse comparable transactions completed within the same sector in order to apply the most relevant valuation multiples. This multi-criteria approach provides a 360-degree view of the growth potential and specific characteristics of each SME.
Every gross valuation must be assessed in light of the relevant tax implications. Without seeking to replace specialist advisers, such as tax lawyers or chartered accountants, our role is to take into account the shareholder-level tax considerations associated with the transaction, including the tax treatment of capital gains on shares, holding company structures, parent-subsidiary arrangements and share contribution and subsequent sale structures. This holistic approach helps maximise the net efficiency of the transaction, in close coordination with your advisers and within a compliant and secure framework.
Our reports are not merely theoretical studies. From the outset, they are designed as practical decision-making and negotiation tools for real business sale, acquisition or capital reorganisation processes.
