How do we qualify prospective buyers?

The buyer form is the first step in our selection process. It allows us to assess your profile, strategic roadmap, acquisition criteria and financing structure in detail.

To make our future discussions as efficient as possible, we ask you to provide clear and comprehensive information on:

  • Your strategic targeting criteria: Define your priority search parameters, including target sectors, company size, financial criteria and geographical scope.
  • Your financing structure and available equity contribution: Specify the amount of equity that is readily available and can be committed with certainty. If your acquisition strategy involves third parties, such as investment funds, family offices or banking partners, please indicate this from the outset.
  • Your supporting documentation: Including an executive summary or acquisition thesis will help us assess and qualify your buyer profile more effectively.

A well-documented acquisition profile strengthens your position and demonstrates to sellers that you are a serious and credible counterparty.

Building credibility with the seller

In an M&A transaction, price is rarely the only deciding factor. A business owner preparing to sell is primarily looking for a successor who can safeguard the long-term future of the business, protect its people and uphold its values.

As a prospective buyer, your first challenge is to establish your credibility with the seller. Fondaris can help you navigate this critical phase effectively by helping you to:

  • Structure the overall presentation of your acquisition plan;
  • Prepare a clear, coherent and compelling pitch;
  • Highlight your management experience and relevant expertise;
  • Understand the seller’s personal and emotional expectations;
  • Approach the initial discussions with the professionalism required to inspire immediate confidence;
  • Demonstrate your motivation and commitment, while respecting the seller’s pace.

A well-prepared prospective buyer stands out from the outset, gives the seller confidence and significantly improves their chances of being selected.

Would you like support with your acquisition project?

Fondaris supports buyers in the active  search for acquisition targets in the market. To avoid any conflict of interest, these assignments focus exclusively on companies that are not covered by our current sell-side mandates.

This service is primarily intended for companies and investors seeking professional support either for a specific acquisition opportunity, where a target has already been identified, or for a bespoke search campaign leading to a shortlist.

Using our specialised databases and professional tools, we map the market to draw up a list of relevant targets based on sector analysis, key figures and shareholding structure. Depending on your needs, our experts can:

  • Assess the opportunity and carry out an independent financial valuation;
  • Negotiate and structure the acquisition financing;
  • Draft the acquisition offer (LOI - Letter of Intent) in close coordination with your legal advisers;
  • Coordinate the transaction process, including due diligence and all relevant stakeholders, through to closing.

These advisory services are governed by a separate engagement agreement and specific fee arrangements.
